چکیده    داوری تجاری بین‌المللی به‌عنوان اصلی‌ترین سازوکار حقوقی حل‌وفصل اختلافات در حوزه حمل‌ونقل و انرژی دریایی، نقش بنیادینی در تعیین مسئولیت حقوقی شرکت‌های فعال در این عرصه ایفا می‌کند. ابعاد حقوقی و قراردادی پروژه‌های دریایی، ماهیت چندملیتی قراردادها، تعارض قوانین ملی و پیامدهای گسترده اقتصادی و زیست‌محیطی اختلافات دریایی موجب شده است که رسیدگی قضایی سنتی پاسخگوی مقتضیات این دعاوی نباشد. در این چارچوب، سوال اصلی تحقیق آن است که داوری تجاری بین‌المللی چگونه می‌تواند با بهره‌گیری از اصول و اسناد الزام‌آور حقوق بین‌الملل، چارچوبی منسجم برای حل اختلافات دریایی و تعیین مسئولیت حقوقی شرکت‌ها فراهم آورد؟ روش تحقیق، توصیفی تحلیلی با رویکرد تطبیقی است که بر بررسی اسناد بین‌المللی، تحلیل مواد قانونی و مطالعه نمونه‌های آرای داوری بین‌المللی متمرکز شده است. یافته‌های تحقیق نشان می‌دهد که قانون نمونه داوری تجاری بین‌المللی سازمان ملل متحد (آنسیترال)، به ویژه مواد 17، 19 و 35، امکان طراحی فرآیند رسیدگی تخصصی، انتخاب داوران خبره و انعطاف‌پذیری آیین رسیدگی را فراهم می‌کند؛ کنوانسیون شناسایی و اجرای آراء داوری خارجی 1958 (نیویورک) با تضمین اجرای فرامرزی آراء، ضمانت تحقق عملی مسئولیت‌های داوری را تامین می‌نماید؛ و کنوانسیون حقوق دریاها 1982 ماده 235، همراه با کنوانسیون پیشگیری از آلودگی دریایی ناشی از کشتی‌ها 1973/1978 (مارپول) و کنوانسیون ایمنی جان اشخاص در دریا 1974 (سولاس)، چارچوب ماهوی تعیین مسئولیت قراردادی، قهری و زیست‌محیطی شرکت‌ها و اعمال مسئولیت مبتنی بر خطا و مسئولیت مطلق را تثبیت می‌سازد. مقاله پیش‌رو، با تحلیل تطبیقی این اسناد و رویه‌های داوری، درصدد تبیین الگوی بهینه تعیین مسئولیت حقوقی شرکت‌های دریایی، ارتقای کارآمدی داوری و تقویت امنیت حقوقی سرمایه‌گذاری‌های فراساحلی است و نهایتاً به تحقق عدالت قراردادی، تضمین جبران موثر خسارات و حفاظت پایدار از محیط زیست دریایی می‌انجامد.

   the role of international commercial arbitration in resolving disputes and determining the legal liability of companies active in the maritime transport and offshore energy sectors

Abstract    international commercial arbitration, as the principal legal mechanism for dispute resolution in the fields of maritime transport and offshore energy, plays a fundamental role in determining the legal liability of companies operating in this sector. the legal and contractual dimensions of maritime projects, the multinational nature of contracts, conflicts of national laws, and the extensive economic and environmental consequences of maritime disputes have rendered traditional judicial proceedings inadequate to meet the requirements of such claims. within this framework, the main research question is how international commercial arbitration, by drawing upon the principles and binding instruments of international law, can provide a coherent framework for resolving maritime disputes and determining corporate liability. the research methodology is descriptive–analytical with a comparative approach, focusing on the examination of international instruments, analysis of legal provisions, and the study of selected international arbitral awards. the findings indicate that the uncitral model law on international commercial arbitration, particularly articles 17, 19, and 35, enables the design of a specialized adjudicatory process, the selection of expert arbitrators, and procedural flexibility; the 1958 convention on the recognition and enforcement of foreign arbitral awards (new york convention), by guaranteeing the cross-border enforcement of awards, ensures the effective realization of arbitral liabilities; and article 235 of the 1982 united nations convention on the law of the sea (unclos), together with the 1973/1978 international convention for the prevention of pollution from ships (marpol) and the 1974 international convention for the safety of life at sea (solas), establishes the substantive framework for determining companies’ contractual, tortious, and environmental liability, including both fault-based and strict liability regimes. through a comparative analysis of these instruments and arbitral practices, this article seeks to elucidate an optimal model for determining the legal liability of maritime companies, enhance the efficiency of arbitration, and strengthen the legal security of offshore investments, ultimately contributing to contractual justice, effective compensation for damages, and the sustainable protection of the marine environment.
