چکیده    برق‌رسانی ساحلی (ops) در بنادر، صرفاً یک ارتقای فنی نیست؛ بلکه یک مسئله حقوقی–قراردادیِ چند ذینفعه در تلاقی حقوق حمل‌ونقل، حقوق انرژی، حقوق تجارت و شرکت‌ها و سیاستگذاری عمومی است. تجربه اجرای پروژه‌های ops نشان می‌دهد شکست یا کندی این پروژه‌ها غالباً از طراحی نامناسب مدل قرارداد ، ابهام در مرز مسئولیت‌ها در رابط کشتی–ساحل ، و تخصیص نادرست ریسک‌ها ناشی می‌شود که به ادعاهای قراردادی، تاخیر، اضافه‌هزینه و کاهش پذیرش از سوی اپراتورهای ترمینالی و خطوط کشتیرانی می‌انجامد. این مقاله با هدف ارائه یک چارچوب تصمیم‌سازی برای کارفرمای بندر، معیارهای انتخاب مدل قرارداد در پروژه‌های ops (epc/epcm/ppp/ترکیبی) را استخراج و الزامات حقوقی–قراردادی کلیدی هر مدل را تبیین می‌کند. روش تحقیق مبتنی بر تحلیل چندمعیاره و مدیریت ریسک ساختاریافته است و داده‌ها از بررسی اسناد، مصاحبه‌های نیمه‌ساخت‌یافته با خبرگان و قضاوت تخصصی گردآوری می‌شود. معیارهای پیشنهادی شامل: قابلیت اجرای تعهدات و ضمانت ‌اجراها (sla/ld)، رژیم تغییرات و ادعاها، سازوکار مسئولیت مدنی، بیمه و جبران خسارت، الزامات hsse، شفافیت تحویل‌گیری و آزمون‌های پذیرش، هماهنگی با شرکت برق و الزامات تنظیم‌گری، و امکان‌پذیری تامین مالی است. چارچوب در قالب مطالعه مقایسه‌ای بندر شهید رجایی بندرعباس و بندر امیرآباد به‌کار گرفته می‌شود. یافته‌ها نشان می‌دهد تفاوت در پروفایل ترافیک، ساختار بهره‌برداری و محدودیت‌های شبکه، وزن معیارهای قراردادی را تغییر داده و به انتخاب مدل‌های قراردادی متفاوت و بسته‌های حقوقی متمایز (تخصیص ریسک، بندهای رابط، حل اختلاف و kpiهای قابل پایش) منجر می‌شود. خروجی مقاله یک ابزار عملی برای افزایش قابلیت اجرای قرارداد، کاهش ریسک‌های مرزی و تسهیل گذار کم‌کربن در اقتصاد دریامحور است.

   contract model selection and legal–contractual requirements for port shore power (ops) projects: a comparative case study of shahid rajaee and amirabad ports

Abstract    onshore power supply (ops) in ports is not merely a technical upgrade; it is a multi-stakeholder legal and contractual challenge located at the intersection of transport law, energy law, commercial and corporate law, and public policy. practical experience with ops implementation shows that project failure or slow progress is often driven by three recurring issues: choosing an unsuitable contract model, unclear responsibility boundaries at the ship–shore interface, and poor risk allocation. these weaknesses typically translate into contractual claims, schedule delays, cost overruns, and reduced acceptance by terminal operators and shipping lines.this paper develops a decision-support framework for port authorities by identifying key criteria for selecting an ops contract model (epc, epcm, ppp, or hybrid approaches) and by outlining the essential legal–contractual requirements associated with each option. the research method combines multi-criteria decision analysis with structured risk management. evidence is collected through document review, semi-structured expert interviews, and professional judgment. the proposed criteria include enforceability of obligations and remedies (sla/ld), change and claims regime, civil liability, insurance and compensation mechanisms, hsse requirements, clarity of acceptance and commissioning tests, coordination with the power utility and regulatory constraints, and financial feasibility.the framework is applied through a comparative case study of shahid rajaee port (bandar abbas) and amirabad port. the findings indicate that differences in traffic profile, operational structure, and grid constraints significantly shift the weighting of contractual criteria, leading to different preferred contract models and distinct legal packages—particularly in risk allocation, interface clauses, dispute resolution mechanisms, and measurable performance kpis. the main output of this study is a practical decision tool that strengthens contract enforceability, reduces interface-driven risks, and supports the low-carbon transition in a sea-based economy.
