   بررسی تطبیقی تعارض منافع در کدهای اخلاقی شرکت‌های مدرن و فرهنگ تجارت در فقه امامیه

چکیده    هدف این پژوهش، تحلیل تطبیقی تعارض منافع در کدهای اخلاقی شرکت‌های مدرن و فرهنگ تجارت فقه امامیه است تا تفاوت‌ها و اشتراکات این دو نظام در مدیریت این چالش روشن شود. سوالات پژوهش بر چیستی تعارض منافع، شیوه مدیریت آن در هر نظام و نقاط اشتراک و افتراق آن‌ها متمرکز است. در این پژوهش، با بهره‌گیری از روش توصیفی‌ تحلیلی و واکاوی منابع معتبر فقهی و کدهای اخلاقی شرکت‌های پیشرو، تعارض منافع به‌عنوان تضاد وظایف حرفه‌ای و منافع شخصی تبیین شد. نظام مدرن، ریشه در مبنای سودمحوری و کارایی سازمانی دارد و تعارض را در حوزه‌های مالی، منابع انسانی، دارایی‌ها و تعاملات خارجی با ابزارهایی چون افشای اطلاعات، نظارت و کمیته‌های اخلاق و با محوریت شفافیت و کاهش ریسک مدیریت می‌کند. در مقابل، فقه امامیه، مبتنی بر جهان‌بینی توحیدی و هدف کسب رضایت الهی، تعارض را در مکروهات، مانند واسطه‌گری زیان‌بار و احتکار غیرحرام و مستحبات، نظیر یکسان‌سازی قیمت و پذیرش اقاله با قواعد دفع ضرر محتمل، اهم و مهم و دفع مفسده هدایت می‌نماید. تحلیل تطبیقی نشان داد که با وجود اختلاف عمیق در مبانی نظری و غایی، هر دو نظام در شفافیت، انصاف و اولویت مصالح جمعی هم‌گرا هستند و این هم‌گرایی بستری برای فرهنگ‌سازی اخلاق تجاری فقه‌محور فراهم می‌کند. دستاورد پژوهش، تاکید بر ظرفیت این هم‌گرایی برای غنای نظام‌های اخلاقی و پیشنهاد تقویت خیرخواهی در شرکت‌های مدرن و تدوین کدهای فقه‌محور هماهنگ با تجارت جهانی است.

Abstract    this study conducts a comparative analysis of conflict of interest in modern corporate codes of ethics and the commercial etiquette of imami jurisprudence to elucidate their differences and convergences in addressing this challenge. the research questions focus on defining conflict of interest, its management in each system, and their points of convergence and divergence. employing a descriptive-analytical method and drawing on authoritative jurisprudential sources and leading corporate codes, conflict of interest is defined as a clash between professional duties and personal interests. the modern system, rooted in profit-orientation and organizational efficiency, manages conflicts in financial, human resource, asset, and external interaction domains through tools like disclosure, oversight, and ethics committees, emphasizing transparency and risk mitigation. conversely, imami jurisprudence, grounded in a monotheistic worldview and the pursuit of divine satisfaction, addresses conflicts through makruh acts (e.g., harmful intermediation, non-prohibited hoarding) and mustahabbat (e.g., price equalization, accepting contract rescission) , guided by principles like averting probable harm, prioritizing greater good, and eliminating corruption. comparative analysis reveals that despite profound differences in theoretical and ultimate foundations, both systems converge on transparency, fairness, and prioritizing collective interests, providing a foundation for fostering a jurisprudence-based ethical commercial culture. the study highlights this convergence’s potential to enrich ethical systems, proposing enhanced benevolence in modern corporations and the development of jurisprudence-based codes aligned with global trade.
