بی تردید چشم انداز مالی جدید به لحاظ داخلی و بین المللی، نهادهای نظارتی قانونی و بازیگران بازار سرمایه را با چالشها و فرصتهایی مواجه کرده است. این مقاله ضمن بیان این چالشها و فرصتها به این نتیجه می رسد که اکنون در ایران زمان تغییر و تجدید ابزارهای کهنه و امتحان شده فرا رسیده و نظارت قانونی نیازمند ابداعات جدیدی است. این تحقیق نشان می‌دهد که سیستم های نظارتی اوراق بهادار و بازار بورس به ویژه بازار ارز  از ضعف های مداوم در کشور برخوردار است و همین موضوع باعث باخت بسیاری از سرمایه گذاران عرصه بورس و بی اعتمادی به بازار سرمایه گردیده است  که با بهره گیری از بازارهای سرمایه مطرح دنیا از جمله آمریکا و انگلیسی می توان  آن را بهبود بخشید. نتیجه تحقیق نشان می دهد که یک موضوع ثابت در رابطه با عدم توانایی مراجع نظارتی در انجام رسالتشان در بسیاری از کشورها، عدم اجرای موثر قوانین و مقررات موجود است. مجموعه ای از عوامل، از جمله فقدان قدرت و اختیار، کمبود منابع و مهارت، و فقدان اراده سیاسی، مراجع را تضعیف کرده است .توانایی اجرای موثر مقررات یک مشکل خاص می تواند ناشی از عملکرد حوزه‌های دیگر مانند ارزیابی دارایی‌ها و شیوه‌های مدیریت ریسک و الزامات کنترل‌های داخلی برای فعالان بازار و سیستم‌های تجاری باشد.
