تحلیل اقتصادی تعامل «دسترسی به اطلاعات» و«حفاظت از محرمانگی» در کارکرد اطلاع‌رسانی نهاد ثبت شرکت‌های تجاری

کارکرد اطلاع‌رسانی از جمله کارکردهای حقوقی مورد انتظار از «سیستم‌های ثبت شرکت تجاری» در دنیا است.اما عدم شفاف‌سازی «مفهوم محرمانگی در اطلاعات شرکت‌های تجارتی» سبب این ابهام شده که ثبت شرکت‌ها چگونه تعامل میان «دسترسی به اطلاعات» و «حفاظت از محرمانگی» را برقرار می‌سازد. این نوشتار مبتنی بر روشی توصیفیتحلیلی و بر مبنای مطالعۀ تطبیقی مفهوم محرمانگی در حقوق آمریکا که خاستگاه طرح مفهوم حریم خصوصی برای اشخاص حقوقی است، به این نتیجه می‌رسد که اولاً دامنۀ محرمانگی در حوزۀ شرکت‌های تجارتی بسته به نوع شرکت محدود به یکی از دو شاخۀ حریم خصوصی و اسرار تجاری است؛ ثانیاً نظام ثبت شرکت‌ها با سه مدل برای دسترسی به اطلاعات یعنی «مدل آزادی اطلاعات»، «مدل آزادی قراردادی» و «مدل طراحی حق دسترسی به اطلاعات ثبت‌شده» ممکن است مواجه شود که از این میان تاسیس «حق» دسترسی به اطلاعات می‌تواند راهکار تعادلی اتخاذشده توسط سیستم ثبت شرکت‌ها باشد که براساس عملکردی هوشمند و با تمرکز بر مفهوم «نوعی» اطلاعات قابل دسترسی مبتنی بر سنجش نیازمندی ذی‌نفعان اقدام به ارائۀ اطلاعات می‌کند و بر همین اساس به محافظت از قسمتی از اطلاعات شرکت‌ها تحت عنوان محرمانگی منجر می‌شود. امری که علاوه‌بر کاهش «هزینۀ معاملاتی»، «هزینۀ کنترل اطلاعات شرکت‌ها» را هم می‌کاهد.

Economic analysis of Cooperation between “access to the information” and “protection of confidentiality” in declarative Function of Companies registration system

“Declarative Function is one of the expected legal functions of all Companies registration systems”. But the interpretations of this Declarative regime in due to the lack of clarity of concept of “Confidentiality” in company’s information has been unable to answer the question of how companies registration interact between access to information and protection of confidentiality. While, the answer to this question based on identifying a balanced approach of companies Registration in addition to reducing transaction costs”, will reduce Company’s information control costs”. In this paper, based on a descriptiveanalytical approach and We have come to the conclusion that: First, the scope of confidentiality in the field of companies is restricted to one of the two branches of privacy and trade secrets, depending on the type of company. Second, the corporate registration system may encounter three models for access to information, the “Freedom of Information Model, the Contract Freedom Model, and the right of Access to registered information, the last is the equilibrium solution adopted by the corporate registration system that based on intelligent performance provides information according to stakeholder needs assessment and thus protects a large amount of company’s information as confidentiality.
