تاثیر عدم مشروعیت قرارداد پایه بر اعتباراسنادی با تاکید بر رویکرد محاکم حقوقی ایران در پروندۀ سوءاستفادۀ کلان بانکی (معروف به اختلاس سه هزار میلیاردی)

قرارداد اعتباراسنادی از ترکیب چندین رابطۀ حقوقی شکل می‌گیرد. در برخی موارد ممکن است قرارداد پایه یا قرارداد گشایش اعتبار نامشروع باشد؛ ازاین‌رو این بحث مطرح می‌شود که روابط پایۀ نامشروع بر اعتبار اسنادی چه تاثیری دارد و آیا عدم مشروعیت قرارداد پایه را باید به‌عنوان استثنای اصل استقلال در اعتبار اسنادی پذیرفت؟ در حقوق ایران، مسئلۀ عدم مشروعیت خود قرارداد اعتبار اسنادی و قرارداد پایه در جریان پرونده‌های حقوقی سوءاستفادۀ کلان بانکی مطرح شده است؛ بیشتر قضات، عدم مشروعیت را به‌عنوان استثنای اصل استقلال نپذیرفته و به اجرای قرارداد اعتبار اسنادی و حاکمیت مطلق اصل استقلال رای داده‌اند. اما در پرونده‌های اخیر انگلیسی قضات به‌طور ضمنی و در مقدمات حکم عدم مشروعیت قرارداد پایه را به‌عنوان استثنای اصل استقلال در اعتبار اسنادی پذیرفته‌اند. مطالعۀ تطبیقی کشورهای کامن‌لا نیز نشان می‌دهد، برخی حوزه‌های قضایی آمادگی پذیرش استثنای دیگری برای اصل استقلال در اعتبار اسنادی را دارند.

A comparative study of illegality in common law countries also demonstrates that some jurisdictions have getting ready to recognize it as another exception to principal of autonomy in the documentary letters of credit
