ساختار و اهمیت دادگاه های تجاری با توجه به ویژگی های خاص حقوق تجارت: مطالعه ای تطبیقی

فقدان بستر قانونی برای حل‌وفصل اختلافات تجاری و تمییز آن از قراردادهای مدنی، ایجاد راهکارهایی برای دست‌یابی به سازوکاری موثر را ضرورت بخشیده است. این پژوهش درصدد برررسی ساختار و اهمیت دادگاه های تجاری با بهره گیری از شاخص‌های تمییز قراردادهای تجاری از مدنی است. پژوهش حاضر از نوع توصیفی تحلیلی است و کوشیده است با واکاوی پژوهش‌های مرتبط با دادگاه‌های تجاری و تمییز آن از دادگاه‌های عمومی حقوقی به فهمی منسجم از این موضوع دست یابد. از آن جایی که یکی از موانع سرمایه‍گذاری خارجی در ایران، نبود اطمینان کافی از سوی تجار به سبب فقدانِ دادگاه‍های اختصاصی در امر بازرگانی است، بنابراین نقش مهم دادگاه‌های ویژه در رسیدگی به دعاوی تجاری در اطمینان بخشی نسبت به رسیدگی فنی و بهبود شاخص‍های رسیدگی عادلانه انکارناپذیر است. علی‌رغم شکل‌گیری دادگاه‌های تخصصی تجاری در حقوق فرانسه، انگلیس و آمریکا و تاکید بر ضرورت های حقوقی و اقتصادی آن، هم چنان ایجاد این دادگاه‌ها و آیین رسیدگی خاص آن یکی از اصلاحات و ضرورت های نظام قضایی ایران است. اهمیت ایجاد این دادگاه‌ها این است که می‌تواند به تسریع، کم‌هزینه شدن و قابل‌اعتمادتر شدن رسیدگی به دعاوی تجاری که نشات‌گرفته از ویژگی‌های ذاتی و منحصربه‌فرد حقوق تجارت است، کمک نماید.

the structure and importance of commercial courts according to the special characteristics of commercial law: comparative study

absence of a legal framework for resolving commercial disputes and distinguishing them from civil contracts, made it necessary to create solutions to find an effective mechanism. this research aims to examine the structure and importance of commercial courts by using the indicators to distinguish commercial from civil contracts. this research is a descriptive-analytical type and has tried to achieve a coherent understanding of this issue by analyzing the researches related to commercial courts and differentiating them from general-law courts. since one of the obstacles to foreign investment in iran is the lack of commercial courts, the role of expert judges in dealing with commercial cases in the development of trade, facilitating investment and improving the economic indicators of today’s societies is undeniable. despite the formation of specialized commercial courts in french, british and american legal system and the emphasis on its legal and economic needs, the creation of these courts is still one of the reforms and necessities of iran’s judicial system. the establishment of these courts, in addition to being specialized aspects, can help speed up, reduce costs and make more reliable the processing of commercial claims that originate from the inherent and unique features of commercial law. therefore, all efforts should be made to determine the structure and importance of these courts and in this way help the country’s business and economy.
