امکان ‌سنجی انتقال حقوق مالکیت صنعتی در بستر قرارداد ائتلاف

قراردادهای ائتلاف با هدف بهره‌گیری از نوآوری‌های سایر رقبا در بازار و کاهش هزینه‌های تولید و افزایش کیفیت محصولات و بهره‌مندی از مدیریت جمعی تشکیل می‌شوند، اما جنبه‌های قانونی و قراردادی ائتلاف محل بحث است. در این‌باره لازم است بررسی شود که قراردادهای ائتلاف از چه جایگاه قانونی و قراردادی برخوردارند و با توجه به رویه‌های ضد رقابتی رایج، پاسخ‌گوی انتقال حقوق اموال صنعتی است یا نیاز به اصلاح ساختار قراردادها یا قوانین و مقررات دارد. در این مقاله، پس از بررسی انواع قراردادهای انتقال حقوق اموال صنعتی، مشخص خواهد شد که اولاً، قرارداد ائتلاف حقوق رقابت و قراردادهای انتقال حقوق مالکیت فکری در زمینۀ توسعۀ نوآوری اهداف مشابهی دارند اما هریک ابزارهایی متفاوت‌اند که افزایش نوآوری هدف مشترک هر دو است. ثانیاً توافقنامه‌های ائتلاف ذاتاً برخلاف جریان رقابت نیستند؛ ثالثاً در کشور ایران سکوت قانون در تعیین چارچوب قوانین انعقاد قرارداد انتقال به استناد مادۀ 10 قانون مدنی است.

patent pools are created to leverage the innovations of other market competitors, reduce production costs, increase product quality, and benefit from collective management. however, the legal and contractual aspects of patent pools are controversial. in this regard, investigating patent pools’ legal and contractual status is critical to determine whether existing laws solve common anti-competitive practices or if contract structures need modification. this article specifies that the patent pools of competition and intellectual property rights have similar innovation development goals, but each is a different tool. patent pools are not inherently anti-competitive, but they are very prone to anti-competitiveness due to the presence and agreement of market competitors. in iran, the law’s silence in determining a framework for patent pool regulations considers concluding contracts based on article 10 of the civil code as a practical solution.
