بررسی اصل استقلال و ماهیت اسنادی ضمانت ‎نامه‌های مستقل مقایسۀ لایحۀ جدید قانون تجارت با urdg 758 و کنوانسیون آنسیترال

اصل استقلال و ماهیت اسنادی دو ویژگی مهم ضمانت‎نامه‎های مستقل‌اند که در مقررات بین‌المللی مربوط به این ضمانت‎نامه‎ها به‌منزلۀ اصول اساسی مورد توجه قرار گرفته‌اند. قسمتی از لایحۀ جدید قانون تجارت مربوط به ضمانت‎نامه‎های مستقل است. پیش از این، دستورالعمل ناظر بر ضمانت‎نامه‎های بانکی مقرراتی راجع‌به ضمانت وضع کرده بود که البته وافی به مقصود نبود. در این مقاله، مقررات لایحۀ جدید قانون تجارت مصوب 6/10/90 و مقررات بین‌المللی درخصوص ضمانت‎نامه‎های مستقل که به این دو ویژگی اشاره دارند بررسی می‌شود. با اشاره به دستورالعمل ذکرشده و مقایسۀ آن با مقررات urdg 758 و کنوانسیون آنسیترال در این خصوص، نتیجه گرفته می‎شود که، ضمن اینکه لایحۀ جدید قانون تجارت نواقصی دارد، مقررات لایحه درخصوص اشاره به اصل استقلال و ماهیت اسنادی نیز در مقایسه با مقررات بین‎المللی کامل نیست و نیاز به بازنگری بیشتری دارد. به همین علت، به‌کارگیری راهکارهایی ازجمله توجه بیشتر به اصل بنیادین حاکمیت اراده، توجه به جنبه‎های بین‎المللی ضمانت‎نامه‎های مستقل و ایجاد هماهنگی با مقررات بین‌المللی در لایحۀ جدید ضروری است.

independent principle and documentary nature of independent guarantees (comparison of the new bill of trade law, the urdg 758 and uncitral convention)

the principle of independence and the documentary nature are two essential features of the independent guarantee, considered as fundamental principles in the international regulations relating to these guarantees. part of the provisions of the new bill of trade law in iranian law relates to independent guarantees. previously, the bank bid guideline had issued about warranty law that, of course, could not replace the law. in this paper, the provisions of the new trade law of 6/10/90 and urdg 758 and uncitral convention, referring to these two characteristics and the guidelines and its comparison with the provisions of them, concluded that, while the new bill on trade is inadequate, the provisions of the bill regarding the reference to the principle of independence and the documentary nature arent in full compliance with international regulations and need to be reviewed further. for this reason, it is necessary to use policies such as observing the fundamental principle of the governorship of voluntariness, considering the international aspects of the independent guarantees, and aligning with the international regulations.
