تحلیل حقوقی شرط حداکثر تلاش قرارداد تجاری در حقوق ایران و آمریکا

زمینه و هدف: شرط حداکثر تلاش یکی از شروط قراردادهای تجاری معاصر و حاصل نواوری در قراردادهای تجاری بین المللی است؛ که از جهت تاثیر در تفسیر قراردادی و کسب نتیجه مطلوب، دارای اهمیت بسزایی می باشد. در این مقاله مفهوم و مبنا، آثار و ملاک ایفای شرط حداکثر تلاش درحقوق ایران و ایالات متحده آمریکا بررسی شده است. روش: این تحقیق از نوع نظری بوده و روش تحقیق به صورت توصیفی  تحلیلی است و روش جمع آوری اطلاعات به صورت کتابخانه ای است و با مراجعه به اسناد، کتب و مقالات صورت گرفته است. ملاحظات اخلاقی: در تحقیق حاضر، اصل امانتداری، صداقت، بی طرفی و اصالت اثر رعایت شده است. یافته ها: اگر قاضی از قرائن و اوضاع و احوال موضوع، نتواند سطح و میزان تلاش را تشخیص دهد، شرط را مبهم و غیرقابل اجراء اعلام می نماید. نتیجه گیری: شرط حداکثر تلاش در هردو نظام حقوقی قابل توجیه و اعتبار است و حتی در بعضی از مقررات، به لزوم رعایت آن در بعضی از قراردادها، تصریح شده است؛ اما از حیث اجراء و الزام قضایی، علی رغم اتفاق دکترین و محاکم بر ظهور شرط حداکثر تلاش بر لزوم انجام سطح تلاشی بیشتر از متعارف، ممکن است  با مشکل اجرایی مواجه شود.

background and aim: the condition of maximum effort is one of the conditions of contemporary commercial contracts and the result of innovation in international commercial contracts, which is very important in terms of its impact on contractual interpretation and obtaining the desired result. in this article, the concept and basis, the effects and criteria of fulfilling the condition of maximum effort in the laws of iran and the united states of america.methods: this research is of a theoretical type and the research method is descriptive-analytical and the method of collecting information is library-based and was done by referring to documents, books and articles.ethical considerations: in this research, the principles of trustworthiness, honesty, neutrality and originality of the work have been respected.results: if the judge cannot determine the level and amount of effort from the evidence and the circumstances of the subject, he declares the condition ambiguous and unenforceable.conclusion: the condition of maximum effort is justifiable and valid in both legal systems, and even in some regulations, it has been specified that it must be observed in some contracts. however, in terms of enforcement and judicial obligation, despite the occurrence of doctrine and courts on the emergence of the condition of maximum effort on the need to perform a higher level of effort than usual, it may face an implementation problem.
