بررسی ماهیت و زمان انتقال مالکیت در بیع اسنادی بین‌المللی

زمینه و هدف: بیع  اسنادی از جمله موضوعات مهم حقوق اعتبارات اسنادی است که تاکنون چندان مورد بحث و بررسی قرار گرفته است. با توجه به اهمیت بیع اعتبارات اسنادی، هدف مقاله حاضر بررسی ماهیت و زمان انتقال مالکیت در بیع اسنادی بین‌المللی است.مواد و روش‌ها: مقاله حاضر توصیفی تحلیلی است. مواد و داده‌ها نیز کیفی است و از فیش‌برداری در گردآوری مطالب و داده‌ها استفاده‌ شده است.ملاحظات اخلاقی: در این مقاله، اصالت متون، صداقت و امانت‌داری رعایت شده است.یافته‌ها: بیع اسنادی ماهیتی متفاوت از بیع سنتی دارد. در بیع اسنادی این اسناد است که موضوع معامله است و خریداران اسناد را می‌خرند و در ازای آن ثمن می‌پردازند. بر اساس نظر برخی، در این عقد اسناد به‌ ویژه اسناد حمل مورد بیع قرار می‌گیرند نه کالا. البته لازم به ذکر است که نظریات دیگری در این زمینه وجود دارد و عده‌ای نیز عقیده دارند این عقد بیع کالا می‌باشد. هم چنین عده‌ای دیگر ماهیتی مرکب برای این عقد قائل هستند که پذیرش هر یک از نظریات ذکر شده آثار منحصر به‌ فردی را به دنبال خواهد داشت.نتیجه‌: زمان انتقال مالکیت در عقد بیع اسنادی، صرفاً در مقررات داخلی نظام‌های حقوقی تعیین‌شده است و بر عقود بیع اسنادی داخلی حکومت می‌کند. این زمان در عقد بیع اسنادی بین‌المللی تعیین نشده است چراکه در مقررات بین‌‌المللی در این خصوص مطلبی ارائه نشده است و این امر را به قانون حاکم بر قرارداد ارجاع داده است.

background and purpose: sale of documents is one of the important issues of the rights of documentary credits, which has been discussed a lot so far. considering the importance of the sale of documentary credits, the purpose of this article is to investigate the nature and time of transfer of ownership in international documentary sales.materials and methods: this article is descriptive and analytical. materials and data are also qualitative and data collection was used in collecting materials and data.ethical considerations: in this article, the originality of the texts, honesty and trustworthiness are observed.findings: documentary sales have a different nature from traditional sales. in the sale of documents, these documents are the subject of the transaction, and the buyers buy the documents and pay for them. according to some opinions, in this contract, the documents, especially the master of transportation, are sold, not the goods. of course, it should be noted that there are other theories in this field and some believe that this is a contract of sale of goods. also, some others believe that this contract has a complex nature, that the acceptance of each of the mentioned theories will have unique effects. result: the time of transfer of ownership in the documentary sale contract is determined only in the internal regulations of the legal systems and governs the domestic documentary sale contracts. this time has not been determined in the contract of sale of international documents, because there is no provision in the international regulations in this regard, and this matter has been referred to the law governing the contract
