چالش‌های حقوقی جذب سرمایه‌گذاری خارجی در تولید و ساخت دارو

مقدمه: با توجه به مزیت‌های ایران برای تولید و ساخت دارو و ظرفیت‌های‌ منطقه، سرمایه‌گذاری خارجی در این حوزه راه‌کاری برای تحقق سیاست‌های کلی اقتصاد مقاومتی در زمینه‌‌ی حمایت همه‌جانبه و هدف‌مند از صادرات کالا و خدمات است. روش کار: در مطالعه‌ی حاضر، برای اولین ‌بار از طریق سه مرحله‌ی گردآوری احکام قانونی، تنقیح قوانین و مقررات برای شناخت احکام معتبر از نامعتبر و بررسی و تحلیل احکام معتبر در حوزه‌ی سرمایه‌گذاری خارجی در تولید و ساخت دارو، مجوزها و مراحلی که سرمایه‌گذار خارجی مستلزم اخذ یا طی کردن آن است، استخراج شد تا ضمن احصاء، آثار آن‌ها بر تسهیل سرمایه‌گذاری خارجی تحلیل شود.یافته‌ها: برای سرمایه‌گذاری در تولید و ساخت دارو، علاوه بر مجوزها و ترتیبات عام سرمایه‌گذاری خارجی مقرر در قانون تشویق و حمایت سرمایه‌گذاری خارجی، اخذ مجوزهای خاص که در قوانین و مقررات مختلف پراکنده هستند، ضروری می‌نماید. بنابراین پراکندگی قوانین و تعدد مجوزها و مراحل، جذب سرمایه‌ خارجی را دشوار می‌کند. در چنین شرایطی، تکلیف به انتشار مجوزهای کسب‌وکار و محدود شدن مجوزها به موارد منتشر‌شده مندرج در قانون اجرای سیاست‌های کلی اصل 44 قانون اساسی نتوانسته اثربخشی لازم را داشته باشد.نتیجه‌گیری: برای حذف مراحل، مجوزها و مراجع صدور مجوز غیرضروری و همچنین، کاهش بار قوانین و مقررات پراکنده، راه‌کارهایی مانند الکترونیکی‌کردن فرآیند صدور مجوزها، تنقیح و تدوین قانون جامع سلامت و اجرای دقیق ماده‌ی 7 قانون اجرای سیاست‌های اصل 44 و مواد 6 و 7 قانون تشویق و حمایت از سرمایه‌گذاری خارجی می‌تواند مورد‌توجه سیاست‌گذاران قرار گیرد. 

legal challenges of encouraging foreign investment in pharmaceutical manufacturing

introduction: due to iran’s privileges to manufacture medicines and the capacity of the middle east market, foreign investment in the pharmaceutical industry can be a solution for realizing the “general policies of resilient economy” in the area of comprehensive and targeted support of exports and services.methods: in this study, for the first time, we used three steps to extract the permits and procedures required by foreign investment to take or pass in manufacturing drugs. the three steps included the collection of laws, codification to recognize valid from invalid regulations, and analyzing valid regulations in the area of foreign investment in manufacturing pharmaceutics. besides reckoning, we examined the impacts of regulations on facilitating or impeding foreign investment.results: for investing in drug manufacturing, in addition to the legal requirement for obtaining permits and passing general procedures prescribed in the “foreign investment promotion and protection act” (fippa), it is necessary to obtain special permits asserted in different laws and regulations. therefore, the dispersion of rules and the multiplicity of permits and processes make it difficult to attract foreign capital. under such circumstances, the obligation to release business licenses and the limitation of permits to issued cases set forth in the “law of implementation of general policies of principle (44) of the constitution” cannot be effective.conclusion: to eliminate unnecessary procedures, licenses, and authorities, as well as to reduce the burden of scattered laws and regulations, solutions such as electronic permit issuance, codification of health code and strict implementation of article 7 of the “law of implementation of general policies of principle (44) of the constitution” and articles 6 and 7 of fippa can be considered in policymaking in the health system.keywords: pharmaceutical industry; health policy; investment; legal aspects; unnecessary procedures please cite this article as follows:taher mohebati zehan, abdolreza barzegar, mohsen najafikhah. legal challenges of encouraging foreign investment in pharmaceutical manufacturing. hakim health sys res. 2019; 22(3): 181-189. *corresponding author: ph.d. student, department of public law, meybod branch, islamic azad university, 10th floor, no. 1, next to the derakhshan st., north falamak ave., shahrak gharb, tehran, iran. tel: +98-2196881107, email: ashoorijad@yahoo.com
