CORPORATE GOVERNANCE IN THE CONTEXT OF CORPORATE SUSTAINABILITY: THE BIRTH, THE DEVELOPMENT AND THE EVALUATION OF THE CONCEPT

Using corporate social responsibility before and after crisis situation helps corporations. and as a response for the stakeholders demands corporate social responsibility is a preferred communication strategy. the processes which began with corporate social responsibility, now continues with corporate sustainability strategies. corporate sustainability is a business approach that creates long-term shareholder value by embracing opportunities and managing risks. corporate sustainability strategies serve corporate profitablility. another term is for sustaining corporation is corporate governance. it aims protecting shareholder’s rights and sustaining the economy of corporations. corporate governance is a system which have rules and regulations for guaranteeing institutional operation and shareholder’s long-term value. cadbury report, greenbury report and hampel report in england, sarbanes-oxley act in united states of america and corporate governance principles of capital markets board of turkey are some examples of regulations about corporate governance. within corporate governance, multinational corporations share the responsibilities of governments and they became powerful like governments. within the power corporation acts like government, they do not manage themselves, they manage and manipulate all their stakeholders. in the new system, corporate governance is a good way for governing others and manufacturing their consent. as a result in this study, a theorical approach on corporate sustainability and corporate governance has been studied and critiques on corporate governance has been discussed.
