مسوولیت کیفری شرکت‌های تجاری در وضعیت‌های خاص ( قبل از ثبت، پس از ادغام و در حال تصفیه)

نمی توان انکار کرد که انعکاس صریح مسئولیت کیفری اشخاص حقوقی از جمله شرکت‌های تجاری، آن‌هم در قبال عموم جرایم، بیان ضابطه‌های شکل‌گیری این نوع مسئولیت این موجود‌ها و نیز پیش‌بینی ضمانت اجراهای متنوع و هم‌سو با طبع آن‌ها در قانون مجازات اسلامی، نقطه‌ی عطفی در تاریخ تحولات حقوق کیفری ایران محسوب می‌شود. با این وجود، باید دید پاسخ قانون‌گذار در برابر پرسش‌هایی چند راجع به مسئولیت کیفری شرکت‌های تجاری در وضعیت‌های خاص چیست؟ نخست آن‌که، چنین مسئولیتی از تاریخ ثبت و طی تشریفات مربوطه نمودار می‌شود یا به قبل از این مرحله بازگشت دارد؟ دوم آن‌که، انحلال شرکت‌های مذکور چه تاثیری بر مسئولیت کیفری آن‌ها خواهد گذاشت؟ آیا این واقعه هم‌عرضِ مرگ اشخاص حقیقی تلقّی، و مسئولیت کیفری آن‌ها را ناممکن می‌سازد و یا به تبع بقای شخصیت حقوقیِ اشخاص مزبور در مدت تصفیه، مسئولیت کیفری آن‌ها هم‌چنان تداوم می‌یابد؟ سوم آن‌که، آثار پدیده‌ی ادغام و گونه‌های آن ادغام یک‌جانبه و ادغام دو یا چند جانبه که مطمح نظر قانون‌های خاص، قانون‌های برنامه‌های چهارم و پنجم توسعه و نیز لایحه‌ی تجارت قرار گرفته است، بر مسئولیت کیفری شرکت ادغام کننده در ادغام یک‌جانبه و شرکت جدید در ادغام دو یا چند جانبه چیست؟

Criminal Liability of Corporations under Specific Situations (Before Registration, during Settlement and after Merger)

It is not deniable that explicit reflection of the legal persons' criminal liability including corporations, regarding the general crimes, explanation of criteria for assuming such liabilities and providing various executive warranties along with the Islamic Penal Code is a turning point in the Iranian criminal law development. However, there are some questions concerning the corporations' criminal liability under specific situations which must be answered by the lawmaker. The first question is that, whether this liability is exerted from registration date and the related arrangement or it is retrospective. The second question is that, what are the effects of breakup on a corporate liability? Is it regarded as the death of real persons which causes the extinction of criminal liability of legal persons during settlement? The third question is "what are the effects of merger and its various types (unilateral, bilateral or multilateral merger) on merging company's criminal liability, with regard to the scopes of special laws as well as the Fourth and Fifth Development Plan of the country, and the Trade Bill?
