ابعاد حقوقی بازار سرمایه غیرمتشکل؛ با نگرش تطبیقی در حقوق ایالات متحده آمریکا

از دیرباز بازار سرمایه به‌صورت غیر متشکل وجود داشته ولی در قرون اخیر بازار متشکل ظهور پیداکرده است. در خصوص حدود نظارت و کنترل بر بازار غیر متشکل سرمایه به‌ویژه بازاری که در آن مراجعه به عموم سرمایه‌گذاران باشد، بحث فراوان وجود دارد. در نوشتار حاضر درصدد تبیین مفهوم بازار سرمایه غیرمتشکل از طریق شناسایی وجوه تمایز آن با نهاد متناظر خود (بازار غیرمتشکل پولی) بوده‌ایم. لذا با استفاده از مطالعات تطبیقی در حقوق آمریکا و مقایسه آن با وضعیت بازار سرمایه غیرمتشکل در ایران، مشخص شد بازار خارج از بورس در مفهوم عام خود مطابق با بازار سرمایه غیرمتشکل بوده و با توجه به تحولات قوانین و مقررات این حوزه دچار تغییرات بنیادینی در حوزه اجرایی شده است. شرکت فرا بورس ایران بر اساس مجوز شورای عالی و سازمان بورس و اوراق بهادار به‌عنوان تنها مصداق بازار خارج از بورس در ایران تاسیس شده، اما ساختار متشکل و نظام‌یافته این شرکت و نحوه انجام معاملات آن‌که تا حد زیادی شبیه بورس اوراق بهادار است، عملاً منجر به فاصله گرفتن فرا بورس از مفهوم بازار خارج از بورس شده و مقررات گذاری در خصوص بازار سرمایه غیرمتشکل را با مشکلات زیادی مواجه کرده است.

Examining the Legal Dimensions of Unorganized Capital Market; with an comparative attitude in US Law

Unorganized capital market has existed for a long time; however, the Organized market has emerged in recent centuries. There are a lot of discussions about the extent of monitoring and control over the Unorganized capital market, particularly the market in which investors are referring to the public. In this research, we seek to explain the concept of unorganized capital market by identifying the features of its distinction with its corresponding entity (i.e. unorganized money market). Therefore, by conducting a comparative study under the U.S. law and the comprehensive examination of the unorganized capital market’s situation in Iran, it was found that in a general sense, over the counter market is consistent with unorganized capital market, and that there have been major changes to rules and regulation in this area. Iran Fara Bourse has been established on the basis of High Council and Securities and Exchange Organization’s license as the sole over the counter in Iran, but the organized structure of this company and procedure of its transactions, which is very similar to stock exchange, have particularly led to distinguishing the Fara Bourse from the concept of OTC. This has caused  the regulation of the unorganized capital market to encounter many problems.
