طراحی و بررسی فقهی اوراق جعاله جهت تامین مالی طرح‌های زیرساختی حمل‌ونقل جاده‌ای در ایران

در حال حاضر نیاز کشور به ایجاد و توسعه زیرساخت‌ها بالا است و توانایی مالی دولت پاسخگوی این نیاز نیست. از طرفی به‌دلیل عدم‌تطابق سررسید منابع کوتاه‌مدت بانکی و مصارف بلندمدت پروژه‌های کلان، تامین مالی بلندمدت از طریق سیستم بانکی راهکار مناسبی نمی‌باشد. از این‌رو استفاده از ظرفیت بازار سرمایه از طریق انتشار اوراق بهادار اسلامی (صکوک) می‌تواند گزینه مناسبی برای این منظور باشد.هدف پژوهش حاضر، طراحی و بررسی فقهی اوراق جعاله برای تامین مالی طرح‌های زیرساختی حمل‌ونقل جاده‌ای در بازار سرمایه ایران می‌باشد. در مقاله حاضر با بهره‌گیری از روش پژوهش دلفی یا نظرسنجی از خبرگان، ابعاد فقهی اوراق جعاله برای تامین مالی طرح‌های زیرساختی حمل‌ونقل جاده‌ای بررسی شده و دو مدل عملیاتی برای اوراق جعاله تامین مالی پروژه در قبال مبلغ معیّن؛ قابل استفاده برای قراردادهای ساخت، انتقال، پرداخت اجاره به سرمایه‌گذار (btl)، و تامین مالی پروژه در قبال حق بهره‌برداری برای زمان معیّن؛ قابل استفاده برای قراردادهای ساخت، بهره‌برداری و انتقال (bot) ارائه شده است.

Design and Juridical Study of Ju’alah Sukuk for Financing Infrastructure Road Transport Projects in Iran

At the moment, Iran needs an urgent development of its infrastructure but the government’s financial resources are not high enough to afford such expenses and on the other hand, the mismatch between the shortterm resources of banks and longterm expenses of projects, has made it inappropriate to finance longterm needs through banks. In this regard using the private sector’s resources through the capital market can be a good solution for this problem. The main objective of this research is to design and juridical study of Ju’alah securities to finance infrastructure road transport projects in capital market of Iran. By applying the Delphi method or experts survey, the juridical aspects of the newly designed Ju’alah securities to finance infrastructure road projects were studied and two operational model for it were approved by experts in which: (i) the contractor builds the project for certain amount of money that the government should pay. This model is suitable for Build, Transfer and Lease (BTL) contracts and alike, (ii) the contractor builds the project for the right to operate it for a specific time period. This model is suitable for Build, Operate and transfer (BOT) contracts and alike.
