امکان‌سنجی فقهی حقوقی اجاره سهام و کاربردهای مالی آن

اجاره سهام به عنوان یکی از موضوعات جدید در بازار سرمایه اسلامی، دارای کاربردهای مالی متنوعی ‌ازجمله، تامین مالی شرکت‌های سرمایه‌گذاری و هلدینگ از طریق انتشار اوراق اجاره مبتنی بر سهام، ساماندهی سهام عدالت و عرضه سهام شرکت‌های آن در بورس و همچنین تعویض جریانات نقدی متغیر سهام در مقابل جریانات نقدی ثابت است. در این تحقیق با روشی توصیفی تطبیقی به بررسی فقهی و حقوقی موضوع اجاره سهام پرداخته شده است. پس از بررسی ماهیت فقهی و حقوقی سهام، شروط عقد اجاره با ماهیت و ویژگی‌های سهام مورد تطبیق قرار گرفت. بر اساس دیدگاه برخی از حقوق‌دانان و نظر اکثریت فقها در خصوص ماهیت سهام، یعنی ماهیت عینی داشتن و یا حکایت از عین، تملیک منافع و توافق بر واگذاری برخی از حقوق سهام از طرف مالک به مستاجر برای شرکت‌هایی با دارایی عینی قابل اجاره بلااشکال می‌باشد و در صورتی که برای ماهیت سهام، مبنای مال اعتباری یا دین بودن را بپذیریم، اجاره سهام با مشکل مواجه خواهد بود.

A JuridicalLegal Feasibility Study of Equity lease and its Financial Applications

Stock leasing as one of the new topics in the Islamic capital market has a variety of financial applications including: financing of investment firms and holding through the issuance of equity based Ijarah Sukuk, organizing of justice shares and the exchange of cash flows of equity with fix cash flows. With descriptivecomparative method, the legal and juridical issues of equity leasing has been investigated. After examining the legal and juridical nature of the shares, we try to comply the requirement of the lease contract with the nature and characteristics of the shares. According to viewpoints of some jurists’ and the majority of Scholars in nature of the shares, the assignment some of the shares’ rights by the owner to the lessee is permissible for the companies with certain real leasable assets. The leas shares are not permissible if we accept the nature of the shares as being based on Virtual Property or debt.
