بررسی علل و ابعاد حقوقی ورشکستگی شرکت انرون آمریکا با تاکید بر حقوق شرکت‌های آمریکایی

شرکت انرون در سال 1985 فعالیت خود را در زمینه تولید و فروش انرژی شروع کرد و به‌سرعت به بزرگ‌ترین شرکت انرژی جهان تبدیل شد. به‌نحوی‌که طی رتبه‌بندی صورت گرفته در سال 2001، رتبه هفتم را در بین پانصد شرکت بزرگ آمریکا به خود اختصاص داد. این در حالی است که پایان حیات این شرکت نیز در اواخر همین سال رقم خورد و آمریکا را با بزرگ‌ترین ورشکستگی تاریخ خود مواجه نمود، که طی آن شمار زیادی سرمایه و یا کار خود را از دست دادند. این مقاله در مقام بررسی و شناسایی عوامل سقوط این‌گونه شرکت‌هاست تا با تدوین هر چه بیشتر قوانین حمایت از حقوق سهامداران، از وقوع موارد مشابه در ایران پیشگیری به عمل آید، و زمینه بازنگری و تحول در قوانین مربوط به حقوق شرکت‌ها در ایران فراهم شود. لذا می‌طلبد ضمن معرفی اجمالی از شرکت سهامی انرون مهم‌ترین دلایل ورشکستگی این شرکت بزرگ انرژی با تاکید بر حقوق شرکت‌های آمریکایی مورد کنکاش قرار داده شود. بخشی از یافته‌های پژوهش بیانگر آن است که تخلفات مالی مدیران، معیوب بودن ساختار درونی شرکت، عدم مدیریت ریسک تقلب، عدم شفاف‌سازی و پنهان‌کاری، حساب‌سازی، بی‌توجهی به حقوق سهامداران و زیر پا گذاشتن اصول و قواعد اخلاقی از عوامل عمده سقوط این شرکت بزرگ انرژی بوده است.

The Causes of Bankruptcy in the US Enron Company with Emphasis on American Corporates Law

In 1985, Enron Company started its business in order to produce and sell energy and was promoted to the greatest company of energy all over the world, rapidly. So, this company acquired the seventh grade between five hundred big companies in the United States according to the rankeing done in 2001. At the end of 2001, the company became bankrupt and America was faced to the greatest bankruptcy in its history. Consequently, many companies or people lost their capital and jobs. Thus, it is worthy, to study the causes of bankruptcy in this company, and may approve the acts for protection of stockholders in order to provide a situation that may prevent such occurrences in Iran.#13 The present study aims at exploring the main reasons for its bankruptcy with emphasis on corporates law along with a brief introduction of Enron Corporation. #13 Findings of this research revealed that there are major factors in the collapse of this big energy company such as finance violations, lack of fraud risk management, lack of transparency and secrecy, structuring, disregard for the rights of shareholders and violation of the principles and moral rules.
