تفسیر اقتصادی ماهیت واحدهای تابع و شیوۀ مطلوب دسترسی به شرکت مادر ( مطالعه تطبیقی در حقوق آمریکا، انگلستان و ایران )

تعدیات واحدهای تابع چنانکه با دستورات مستقیم شرکت مادر باشد، تعقیب آن شرکت را ایجاب می‌نماید. بر این اساس در چنین مصادیقی، دسترسی مستقیم به شرکت مادر و تعقیب آن را باید ضرورتی اساسی دانست. با این وجود شایسته آن است که گذار از واحدهای تابع ( عبور از شخصیت آنان ) و تعقیب مستقیم شرکت مادر با رویکردی اقتصادی صورت گیرد. به عبارت دیگر دسترسی به شرکت مادر نباید منجر به تنزل ظرفیت‌های موجود در بازار شود. تعقیب شرکت مادر چنانکه با نادیده‌انگاشتن هویت واحدهای تابع باشد، ظرفیت‌های موجود در آن بازار را کاهش خواهد داد. این وضعیت لاجرم به تنزل شاخص بهره‌وری آن بازار منتهی خواهد شد. از این رو در روابط میان واحدهای تابع با شرکت مادر، باید تفسیری اقتصادی را حاکم نمود. در این خصوص تفسیری را باید اقتصادی دانست که با عبور از واحدهای تابع و دسترسی به شرکت مادر، شاخصه‌های مربوط به بهره‌وری با کاهش همراه نشود. حراست از بهره‌وری مستلزم آن بوده که در تعقیب شرکت مادر، تفسیری به کارگرفته شود که با اعمال آن؛ ضمن تثبیت هویت واحدهای تابع، شخصیت آنان مخدوش نشود. در نتیجه دسترسی به شرکت مادر باید بر مبنای ارادۀ باطنی واحدهای تابع تفسیر گردد. در این صورت مواجهۀ با شرکت مادر از طریق تفسیر ارادۀ باطنی واحدهای تابع صورت خواهد گرفت و تعقیب شرکت مادر دیگر به تنزل شاخصه‌های مربوط به بهره‌وری آن بازار منتهی نخواهد شد.
