بررسی تاثیر ویژگی های هیات مدیره بر اعمال غیر قانونی شرکت( شواهدی از بورس اوراق بهادار تهران)

امروزه یکی از مهم ترین علل اثربخشی هیات مدیره ها را باید در ترکیب آنان و ویژگی های منتسب به آن شامل اندازه، استقلال اعضاء، تعداد عضویت اعضاء در سایر تیم ها، ساختار جنسیتی ترکیب هیات مدیره، متوسط سنی ترکیب و مواردی از این قبیل جستجو نمود. هدف از انجام این پژوهش بررسی تاثیر ویژگی های هیات مدیره بر اعمال غیر قانونی شرکت است. داده های آماری بین سال های 1390 تا 1395 از بین شرکت های پذیرفته شده در بورس اوراق بهادار تهران انتخاب گردیده است. ویژگی های هیات مدیره و اعمال غیر قانونی شرکت از متغیرهای این پژوهش محسوب می شوند. نمونه آماری به روش سیستماتیک از بین کلیه شرکتهای عضو بورس تهران ، به تعداد 21 شرکت انتخاب شده است. روش پژوهش توصیفی همبستگی بوده و داده های پژوهش از نوع تاریخی با مراجعه به صورت های مالی و گزارشات شرکتها استخراج و نیز تحلیل آماری توسط نرم افزار ایویوز نسخه 9 و با استفاده از مدل لجستیک انجام گرفته است. نتایج پژوهش نشان می دهد که ویژگی های هیات مدیره شرکت بر اعمال غیر قانونی شرکت تاثیر معناداری دارد.

Effect of Board Characteristics on Corporate Illegality (Evidence from Tehran Stock Exchange)

Today, one of the most important reasons for the effectiveness of the board of directors should be their composition and attributes such as size, independence of members, number of members in other teams, gender structure of the composition of the board, the average age of the combination, and such cases. The purpose of this research is to investigate the impact of the Board of Directors on the unlawful actions of the company. statistical data between 2011 and 2016 are among the companies listed in tehran stock exchange. The board’s features and illegal actions of the company are considered as the variables of this research. statistical sample of the systematic method of all companies in tehran stock exchange The number of 21 companies has been selected. The research method was descriptivecorrelational and historical data were extracted from financial reports and corporate reports, finally, the statistical analysis was carried out by Eviews software, version 9 and using the logistic model. The results of the research show that the characteristics of the board of directors have a significant effect on the company’s illegal actions.
