همگام‌ ساختن قراردادهای یکپارچه‌سازی منابع نفتی همجوار داخلی با الزامات حقوق ایران

اتخاذ رویکرد ترکیبی در قراردادهای بالادستی نفت و گاز ایران یا به‌عبارت دیگر ادامه یافتن حضور قراردادی پیمانکار پس از مرحلۀ اکتشاف و توسعه به مرحلۀ تولید از یک سو و برقراری نسبت مستقیم میان عواید پیمانکار و سطح تولیدات میدان از سوی دیگر می‌تواند شرایطی را فراهم آورد که در آن، پیمانکَاران نواحی قراردادی همجوار در مواجهه با کشف منبع نفتی مشترک میان نواحی قراردادی اقدام به رقابت در برداشت هرچه بیشتر از مخزن نمایند. رویارویی دولت‌ها با مشکلات اقتصادی و زیست‌محیطی ناشی از چنین رقابت‌هایی، موجبات تدوین مقرراتی در خصوص یکپارچه‌سازی نواحی همجوار قراردادی و به تبع آن فراگیری قراردادهای یکپارچه‌سازی و عملیات یکپارچه در این عرصه را فراهم آورده است. الگوی قراردادی تعرفه‌شده از سوی انجمن مذاکره‌کنندگان بین‌المللی نفت را می‌توان تلاشی برای جمع‌آوری رویه‌های حاکم بر تنظیم این قراردادها به‌منظور تدوین یک قرارداد نمونۀ استاندارد دانست. کاربست این الگوی قراردادی در ایران مستلزم رعایت الزامات حقوق ملی ازجمله قواعد آمرۀ حقوق قراردادهاست که از این منظر پذیرش امکان انعقاد آن در نگاه نخست با تردیدهایی همراه است. تحلیل حقوقی موارد چالش‌برانگیز نشان می‌دهد که با رعایت برخی تمهیدات که در این مقاله به آن پرداخته می‌شود می‌توان قراردادهای یادشده را با الزامات حقوق ایران همگام نمود.

adaptation of unitization agreements of inland adjacent petroleum resources with the requirements of iranian

adopting a combined approach in iran’s upstream oil and gas contract or, in other words, continuing the contractor’s contractual presence in the production stage after the exploration and development phase on one hand, and stablishing a direct relationship between the contractors’ revenue and field production level on the other hand can create situations in which the contractors of the adjacent contract areas compete to extract as much as possible from the reservoir. the struggle of governments with the economic and environmental issues caused by these competitions has led to the legislation of some regulations in unitizations of adjacent areas contracts and consequently the inclusivity of the unitization and unit operating agreements. the conventional tariff model proposed by the association of international petroleum negotiators can be considered as an attempt to gather the governing customs in order to develop a standard sample contract. the application of this contractual model in iran requires the observance of the national law demands such as the mandatory rules of contract law, so from this point of view, acceptance of possibility of concluding these contracts is accompanied by some doubts at the first glance. legal analysis of challenging points shows that considering some precautions that are discussed in this article lead the contracts to be synchronized with iranian law requirements.
