الگوی یکسان قاعده قضاوت تجاری: مطالعه تطبیقی در حقوق انگلیس، آمریکا، استرالیا و ایران

قاعده قضاوت تجاری را می توان به عنوان دکترینی تعریف کرد که در صورتی که مدیران با حسن نیت، با دقت لازم و در چهارچوب اختیارات و وظایف خویش از جمله وظیفه مراقبت و امانت‌داری عمل نمایند از آن ها در برابر مسئولیت های شخصی محافظت می نماید. بر همین اساس در این پژوهش با مطالعه تطبیقی در حقوق کشورهای آمریکا، انگلیس، استرالیا و ایران و با تمسک به روش توصیفی-تحلیلی، به مدل‌های مختلف کاربرد قاعده قضاوت تجاری اشاره و عواملی را که منجر به کاربرد[1] این مدل‌ها شده‌اند بررسی گردید. در نهایت قائل بر آن شدیم که شانس استفاده از مدل یکنواخت قاعده قضاوت تجاری بسیار کم است؛ لیکن مکانیزم‌های مدرن نظام راهبری شرکتی در زمینه مسئولیت‌پذیری و کارایی اقتصادی سیستم‌های حاکمیت شرکتی را به اجرای یک مدل قانونی یا صریح از کاربرد این قاعده سوق می دهد. 

the uniform model of the business-judgment rule: a comparative study in english, american, australian and iranian law

the business-judgment rule can be defined as a doctrine that protects directors from personal responsibilities if they act in good faith, with due care and within the framework of their powers and duties, including the care and fiduciary duty. accordingly to this research, with a comparative study of the american, england, australian and iranian law by relying on the analytical descriptive method, various models of the application of the business-judgment rule were pointed out and the factors that led to the use of these models were investigated. finally we concluded that the chance of using the uniform model of the business-judgment rule is very low; but modern mechanisms of the corporate governance system in the field of responsibility and economic efficiency lead to the implementation of a legal or explicit model of the application of this rule.
