بررسی حق تقدم سهام از منظر نظام حقوقی ایران؛ با نگاهی به لایحه تجارت مصوب 23/01/1391

جستاری شایسته در قوانین حکایت از وجود حقی به نام حق تقدم دارد. حق تقدم امتیاز و توانایی یک شخص است که به موجب آن اختیار می یابد پیش تر از سایرین عملی را انجام دهد یا از امتیازی برخوردار گردد. یکی از مصادیق این حق، حق تقدم سهامداران شرکت های سهامی مندرج در ماده 166 لایحه اصلاحی قانون تجارت مصوب 1347 می باشد که بعد از افزایش سرمایه، سهامداران را درگیر خود می کند. با این حال، کمتر به این موضوع پرداخته شده که آیا می توان از این حق به عنوان یک حق خاص همانند سایر حقوق شناخته شده دیگر یاد کرد و با شناسایی ارکان و جایگاه آن در میان حقوق مختلف شخص به اوصاف آن از نظر حق عینی یا دینی بودن، قابلیت انتقال، امکان توثیق و بازداشت آن دست یافت؟ مبنا، شیوه اجرا و آثار این حق برای سهامداران چه می باشد؟ در این مقاله به بررسی این موارد پرداخته می شود.
