چکیده
|
وضعیت توافق عدم رقابت از منظر قواعد حقوق رقابت، همواره مورد مناقشه بوده است. این مقاله پس از شرح مفهوم، شرایط اعتبار و جایگاه کلی توافق عدم رقابت، به تحلیل نوع رویکرد حقوق آمریکا، اتحادیه اروپا و ایران نسبت به این قرارداد می‌پردازد. مطالعه تطبیقی، حکایت از کاستی‌ها، خلاها و رهیافتهای غیر اصولی مقررات رقابتی کشورمان نسبت به این دست توافقات دارد. بر این اساس، این مقاله پیشنهادهای مبتنی بر قواعد تثبیت شده در این حوزه را در جهت زدودن ابهامات و شفاف ساختن وضعیت توافق عدم رقابت ارائه می‌کند تا این پیمان در پرتو فضای خاص رقابتی ایران، بتواند همسو با اهداف رقابتی، نقش حمایتی خود را به نحو کاراتری ایفا نماید.

Abstract
|
The legal situation of noncompetition agreement has always been debated from the competition law aspect. Having provided the notion, validity conditions and general situation of this agreement, this article analyzes the approaches of U.S, E.U and Iranian law governing on noncompetition agreement. Comparative study makes obvious flaws, gaps and wrong approaches of Iranian laws relating to non competition agreement. Considering the specifics and elements of Iranian competition system this essay provides some relevant issues and suggestions, based on established rules in this framework which may remove the ambiguities and make noncompetition agreement more efficient in doing its protective role.
