مسئولیت امانی مدیران در زمینۀ اطلاعات مالی شرکت

منظور از مسئولیت امانی الزام امین در یک رابطۀ امانی به استرداد منافع تحصیل‌شده و جبران خسارت اصیل در صورت نقض تعهدات امانی است. همچنین، منظور از مدیر اعضای هیئت‌مدیرۀ شرکت و منصرف از مدیرعامل است. هدف این مقاله بررسی جنبه‌های مختلف بهره‌برداری مدیران شرکت‌ها از اطلاعاتی است که به دلیل جایگاه مدیریتی در اختیار دارند و همچنین کاستی‏های حقوقی ایران در پرتو مسئولیت‏های امانی. از این رو، مبانی حقوقی مسئولیت مدیران در شرکت‌های تجاری تبیین و اقسام الزامات امانی مدیران در شرکت‏های تجاری و رویکردها در مسئولیت امانی بررسی می‌شود. در ادامه پژوهشگران ضمانت اجرای استفاده از اطلاعات مالی را برمی‏‏شمارند و تصریح می‌کنند که عدم سوءاستفاده از اطلاعات نیز جزئی از الزامات امانی است و مدیران به عنوان کارمندان شرکت باید هر استفاده‏ای را که از اعمال اختیارهای مدیریت نصیبشان شده است به شرکت مسترد دارند. به همین جهت هدف از بررسی این موضوع آسیب‌شناسی نظام حقوقی ایران در خصوص مسئولیت امانی مدیران است.

managers’ fiduciary responsibility regarding the company’s financial information

in this article, an attempt is made to explain the various aspects of the company managers' use of the beneficiaries of the information they have because of their managerial position and iran legal shortcomings in the light of fiduciary responsibilities of managers. for this reason, first, the legal bases of board of directors responsibility in commercial companies are explained. then, the types of fiduciary requirements of managers in commercial companies and approaches to fiduciary responsibility are also examined. in the following, it lists the guarantee of implementation of the use of financial information. according to the author, non-abuse of information is also part of the fiduciary requirements, and managers as company employees must return to the company any use they have received from exercising management powers. for this reason, the purpose of examining this issue is the pathology of iran's legal system regarding the fiduciary responsibility of managers.
