مطالعه تطبیقی قواعد تفسیر عبارات الحاقی و حذف‏ شده در قراردادهای استاندارد در حقوق ایران و انگلستان

تنظیم‏کنندگان قراردادهای استاندارد سعی می‌کنند همه قیود و شروط لازم را، که غالباً مجموعه‏ای از عرف‌های تجارتی هستند، در فرم نمونه قرارداد پیش‏بینی کنند. اما این تلاش‌ها ممکن است متعاملان را اقناع نکند. آن‌ها اختیار دارند قیود و شروطی را به متن قرارداد الحاق کنند یا اگر این قیود مفصل‌اند به صورت شروط ضمیمه به قرارداد پیوست کنند. همچنین، ممکن است برخی از کلمات و عبارات قرارداد نمونه را حذف یا با عباراتی دیگر جایگزین کنند. این اختیارات حدوث تعارض میان متن قرارداد نمونه استاندارد و عبارات الحاقی را محتمل می‏سازد که گاه بدون حذف یکی از آن‌ها رفع تعارض ممکن نمی‏شود. همچنین، در صورت حذف کلمه یا عبارتی از قرارداد استاندارد، این پرسش مطرح می‌شود که آیا متعاملان صرفاً خواسته‏اند آن عبارات حذف‏شده جزئی از توافق نباشد یا ممکن است این حذفیات بازخوردی معنادار داشته باشد. دادرسان، با هدف احراز قصد مشترک متعاملان، تعارض را با ترجیح عبارات الحاقی رفع می‏کنند و با استفاده از کلمات حذف‏شده به تفسیر ابهامات متن باقی‌مانده قرارداد استاندارد می‏پردازند. از آنجا که دادگاه‌ها در این زمینه چالش‌هایی پیش رو دارند، در این نوشتار سعی می‌شود نکات اختلافی یا ناگفته مطالعه و راهکار مناسب ارائه شود.

A Comparative Study of the Rules for the Interpretation of Added and Deleted Phrases in Standardform Contracts in Iranian and British Law

Standardform contracts drafters try to prepare all the necessary terms and conditions, which are a set of business customs, in the contract form; however, these efforts may not satisfy the parties. They have a right to add agreed terms and conditions, which do not exist in the sample form, to the text of the contract, or, if these terms are too detailed, the clauses will be attached to the contract. They may also omit or replace some of the words and phrases in the sample contract. Such changes may lead to conflicts between the text of the standardform contract and the supplementary phrases, which sometimes cannot be resolved without removing one of them. Also, if a word or phrase is removed from the standardform contract, the question is whether the parties merely want the deleted phrase not to be part of the agreement or whether these omissions will provide meaningful feedback. With the aim of achieving mutual intention of the parties, the judges resolve the conflict by preferring additional phrases and interpret the ambiguities of the remaining text of the standardform contract by using the deleted words. Since the courts face challenges in this regard, this article tries to study the differences or unconsidered points and provide an appropriate solution.
