تحلیل اقتصادی حقوق قراردادها با تکیه بر اقتصاد اطلاعات

تحلیل اقتصادی حقوق قراردادها یکی از مطالعات گسترده بین‏رشته‏ای حقوق و اقتصاد است. نظریه‏پردازان این حوزه با کمک گرفتن از آموزه‏های علم اقتصاد به تجزیه‌وتحلیل قواعد و مقررات حاکم بر حقوق قراردادها می‏پردازند. تئوری قراردادها، به عنوان یکی از نظریات مطرح در علم حقوق و اقتصاد، خود، ریشه در آموزه‏های اقتصاد اطلاعات دارد. در حقیقت، ناقص و نامتقارن بودن اطلاعات طرفین یک قرارداد همواره مانعی بر سر راه مبادلات داوطلبانه حقوقی کنشگران اقتصادی در بازار به شمار رفته است. از آنجا که در رویکرد اقتصادی مبادله به منزله افزایش کارایی و اضافه رفاه اجتماعی است، به‌کارگیری راه‏حل‏های ارائه‌شده در اقتصاد اطلاعات می‏تواند این دسته از موانع اطلاعاتی موجود بر سر راه طرفین یک قرارداد را برطرف سازد. در همین زمینه، در این مطالعه سعی شد با استفاده از آموزه‏های اقتصاد خرد، به‌ویژه نظریه بازی و قالب رابطه اصیل‌ نماینده، رفتار طرفین یک قرارداد در مواجهه با نقص اطلاعاتی بررسی شود. با توجه به کاربرد تحلیل اقتصادی اطلاعات در حوزه حقوق قراردادها، به نظر می‏رسد استفاده از یافته‏های اقتصاد اطلاعات با اثرگذاری بر انگیزه طرفین یک قرارداد آن‏ها را به دستیابی به راه‏حلی مشترک جهت کاستن از نقص اطلاعاتی موجود سوق می‏دهد.

Economic analysis of contract law from information economics’ perspective

Economic analysis of contract law is one of the most extensive interdisciplinary studies between Law and Economics. Theorists of this area analyze the regulations ruling contract law with the help of instructions in economics. Contract theory, as one of the theories in Law and Economics, is rooted in the teachings of “Information Economics”. In fact, imperfect and asymmetric information of the parties of a contract has always been considered as an obstacle to the legal and voluntary exchanges of economic agents in the market. Since in the economic approach, the exchange is an increase in efficiency and social surplus, applying the solutions presented in “Information Economics” can remove these information barriers that stand in the way of the parties of a contract. In this regard, this study has attempted using Microeconomics teachings especially Game Theory and PrincipalAgent model to investigate contract parties’ behavior facing information imperfection. Given the application of economic analysis of information in the field of contract law, it seems that the use of Information Economics’ findings by influencing the motivation of the parties to a contract, leads them to reach a common solution to reduce existing information imperfection.
