برخی از پروژه‌ها درنهایت بسیار متفاوت از آن چیزی ساخته می‌شوند که در ابتدا مقصود سازندگان آن بوده است. عدم تدقیق در برآوردهای صورت‌گرفته در زمان ارجاع کار، تغییرات در وضعیت مکانیکی خاکِ محل اجرای پروژه، اشتباه در اسناد فنی مبنای طراحی که به تغییر در مقادیر، ظرفیت‌های تجهیزات مورداستفاده منجر می‌شود، تغییر در اولویت کارهای اعلام‌شده، تغییر در نحوۀ دسترسی به محل اجرای کار و... جملگی از عواملی هستند که به ایجاد تغییرات در محدوده، مقادیر و کیفیت شرح کار پروژه می‌انجامد. آثار مالی و زمانی این تغییرات در برخی موارد به اندازه‌ای قابل توجه است که اختلافات جدی بین طرفین ایجاد می‌کند. مدیریت این تغییرات بر اساس اسناد قراردادی و تهیۀ مستندات لازم از سوی هریک از طرفین امری ضروری است، به نحوی که عدم دقت و رعایت این موارد ممکن است به ورود ضرر به یک طرف قرارداد منجر گردد. پیش‌نیازهای لازم برای انتشار اسناد ارجاع کار و تعیین معیارهای لازم اعم از تجویزی یا عملکردی بودن آنها از سوی مناقصه‌گذار و تدقیق در اسناد مربوطه از موضوعاتی است که آثار بسیار قابل‌توجهی در مدیریت تغییرات خواهد داشت. نحوۀ ارزیابی آثار مالی و زمانی تغییرات در صورت نبود سازوکار مشخص قراردادی مشکل دیگری است که باید آن را با توجه به رویه‌های معمول و قوانین و مقررات حاکم بر قرارداد حل و فصل نمود. محدودۀ اعمال تغییرات و انواع تغییرات قابل اعمال نیز با توجه به تعاریف قراردادی فی‌مابین طرفین و رویۀ موجود در صنعت نیز بایستی تبیین گردد.
