فرض قانونی اطلاع ثالث پس از اعلان از منظر حقوق تجارت ایران و فرانسه

در حقوق تجارت ایران، موارد متعددی را می‌توان یافت که قانونگذار تشریفات ثبت و اعلان را به‌عنوان فرایندی ضروری و آمره در روابط تجارتی و شرکت‌ها مقرر داشته است. مهم‌ترین اثر چنین اجباری آن است که اطلاع ثالث نسبت به آن امر در این موارد مفروض انگاشته می‌شود تا قانونگذار بتواند برمبنای این فرض استحکام معاملات و نظم حقوقی موردِنظر خود را اِعمال و تضمین نماید. فرض قانونی مذکور زمانی جریان می‌یابد که از یک‌سو، اعلان بنا بر تجویز قانون صورت گرفته باشد و از دیگر سو، با وسیله قانونی همچون روزنامه رسمی یا هر طریق دیگر که در قانون مشخص شده است، انجام پذیرد. در چنین شرایطی حتی در صورت عدم‌اطلاع واقعی ثالث نیز، چنین ادعایی در محاکم موردِپذیرش قرار نخواهد گرفت. به‌عبارت‌دیگر این فرض، حسن نیت ثالث را در مواردی که اعلان تحقق یافته است با چالش جدی مواجه می‌سازد.

The third-party awareness due to the legal announcement as a legal fiction from the perspective of the Iranian and French commercial law

In Iranian commercial law, there are a lot of cases in which the registration and legal announcement publication is forced by law as a necessary legal process. The most important effect of such a compulsion is that the thirdparty is assumed to be informed about it, so that the legislator can guarantee the trading strength and legal order on the basis of that fiction. This legal fiction could be considered as one of the main and direct effects of commercial registration and announcement, and it is applied when, on one hand, the announcement is lawful, and on the other hand, the announcement is made by a legal means such as the official journal or any other way that is specified by law. In such circumstances, even if third parties are not aware, such a claim will not be accepted in the courts. In other words, this fiction poses a serious challenge to thirdparty good faith in cases where the announcement has been made.
